Master Services Agreement

This Master Services Agreement (“MSA”) is a draft framework for shops (suppliers) and delivery companies using the Warsha marketplace Platform. It is not the buyer Terms of Service. A executed copy will replace placeholders below.

1. Parties

• Warsha — [LEGAL_ENTITY_NAME] ([LEGAL_FORM]), [REGISTERED_ADDRESS], Lebanon
• Partner — the shop or delivery company onboarded on Warsha (“Shop Partner” or “Delivery Partner”)

2. Services

Warsha provides a marketplace platform for listing products, receiving orders, coordinating delivery, and in-app messaging. Warsha does not guarantee a minimum volume of orders. Features may change with notice where reasonable.

3. Partner obligations

• Provide accurate business information, catalog, prices, and stock
• Fulfill orders promptly and lawfully (shops) or deliver assigned jobs safely (delivery)
• Comply with Lebanese law, tax, and licensing requirements applicable to the Partner
• Not engage in fraud, misrepresentation, or off-platform payment circumvention schemes
• Protect buyer data received for fulfillment and use it only for that purpose

4. Fees & commission

Warsha’s commission or service fee: [COMMISSION_PERCENT] (or as agreed in a separate commercial schedule). Payment collection today is cash on delivery; settlement mechanics between Warsha and Partners: [to be defined in commercial schedule].

5. Intellectual property

• Partners retain ownership of photos, descriptions, and catalog content they upload.
• Partners grant Warsha a non-exclusive licence to display, reproduce, and promote that content on the Platform and in marketing during the term.
• Partners warrant they have rights to all uploaded images and text.
• Warsha branding and software remain Warsha property.

6. Liability

Each party is responsible for its own acts and omissions. Shop Partners are sellers of record for product quality and description. Delivery Partners are responsible for safe transport. Warsha’s liability is limited as set out in the Terms of Service (DRAFT) and any executed commercial schedule. Cyber insurance for Platform operations is to be arranged with a broker.

7. Term & termination

• This MSA begins on Partner onboarding and continues until terminated.
• Either party may terminate with written notice; immediate termination for material breach or fraud.
• On termination, Warsha may deactivate listings and accounts. Open orders will be handled per operational policy.

8. Data protection

Personal data roles are summarized in the Data Processing Addendum (DRAFT). Partners with independent controller obligations must maintain their own privacy notices where required.

9. Governing law

Lebanon. Courts of [GOVERNING_COURTS], subject to mandatory law.
